Bylaws of the Cosmopolitan Party Foundation
Article I: Purpose The Cosmopolitan Party Foundation is established to advocate for universal suffrage and representation at all levels of government.
Article II: Membership
- Party Members: Individuals who donate to the Cosmopolitan Party Foundation.
Article III: Board of Directors
- Composition: The board shall consist of 11 members.
- Selection:
- From inception, the founder shall select all board members.
- Upon reaching 100 dues-paying members, they shall elect 10% of the board. This representation increases in 10% increments up to 50% when there are 2000 dues-paying members.
- Upon having 100 employees or recurring independent contractors, they shall elect 10% of the board. This representation increases in 10% increments up to 50% when there are 2000 employees or contractors.
- Chair: The founder shall serve as the chair until a universal state is created or a majority of the board votes for removal. All subsequent chairs are elected by the board.
- Vacancies: The founder assumes vacant seats and offices. All other vacancies must be filled by election within 90 days.
- Elections: Held annually for electable seats on the election’s anniversary. The nomination period begins on the anniversary of the condition being met for elections.
- Restrictions: Members of the Cosmopolitan Party Foundation board cannot simultaneously be members of the Cosmopolitan Coalition Action Fund board, except for the founder due to necessity. However, the founder is still subject to removal by the board.
Article IV: Officers
- President: Oversees all operations and ensures adherence to the mission.
- Vice President: Assists the President and assumes duties in their absence.
- Secretary: Maintains records, minutes of meetings, and official correspondence.
- Treasurer: Manages financial records, funds, and ensures compliance with financial regulations.
Article V: Financial Management
- Separate Control: The board shall have exclusive control over the foundation’s funds.
- Shared Expenses: Expenses benefiting both the Cosmopolitan Party Foundation and the Cosmopolitan Coalition Action Fund shall be shared fairly.
- Fund Transfers: The foundation shall not grant funds from any account unless it is for the specific purpose of supporting the joint mission and the purpose is proper under their respective tax regulations and a majority of the board approves of the transfer of funds.
Article VI: Amendments Bylaws can be amended by a 2/3 vote of the board.
